Website Agreement
Agency Design + Content Updates
This Agreement establishes a professional engagement between the Client and the Agency, wherein the Agency will act as an independent contractor. By entering into this Agreement, the Client agrees to purchase the fixed Agency Design. The Agency Design encompasses a comprehensive website design that includes previously completed work such as Industry Research, Wireframing, UX/UI Layout, and a fixed Design Style.
The project will consist of the following phases: Content Updates, Development, and Launch. During the Content Updates Phase, the Agency will be responsible for updating the text and image content of the Agency Design, provided by the Client upon request. Within this phase, the Client retains the right to request the Agency to change the order of sections or remove any sections from the Agency Design.
The Agency Design shall serve as a replacement for the Client’s current home page. In regards to the other web pages present on the Client’s existing website, the Agency will undertake the task of replicating such pages, ensuring the retention of their original content and layout, while adhering to the established design style of the Agency Design.
Client agrees that the scope of this project encompasses a maximum of 25 website pages. Should the Client’s current website consist of more than 25 pages, the inclusion of additional pages shall be deemed as an Additional Work Order, requiring a separate invoice that is distinct from the terms outlined in this agreement.
Communications
The Client acknowledges that email is the primary method of communication during the website project. The Client also confirms that the Agency does not provide free phone meetings for project feedback and/or discussions. In the event that the Client cannot provide website feedback via email and requests a phone meeting, an additional fee may apply. Phone calls may be considered depending on the Agency’s availability and workload, and may incur additional fees based on complexity and length.
Project Phases & Estimated Timeframes
The parties acknowledge and agree that the website project will be conducted in three phases, namely Content Updates, Development, and Launch. Each phase is expected to take a certain amount of time as described below:
Content Updates Phase
The Content Updates phase, which is anticipated to be completed within a timeframe of 5 to 10 days, entails the Client’s responsibility to provide all required text and images for content edits. As part of this phase, the Client is entitled to a maximum of three rounds of revisions and/or a total of 20 hours of the Agency’s work time. The Content Updates phase concludes when the client confirms that no further content adjustments are necessary.
Development Phase
The Development phase typically takes between 5 to 10 days to complete. This phase involves the actual coding and testing of the website, according to the Client’s confirmed content from the Content Phase. In the event that the client introduces any new additions or modifications after the confirmation of the Content Phase, the client acknowledges that such changes would exceed the scope of this contract. The Agency will disregard these changes and they may be subject to discussion as Additional Work Invoices after the successful closure and launch of the project.
Scheduling & Workload
The timelines listed above reflect our standard turnaround based on typical project scope and availability. However, in rare cases—such as projects involving more than 15 internal pages or during periods of unusually high agency workload—the Agency may extend any project phase by up to 10 additional business days. This flexibility is used only when necessary to maintain high-quality work across all active projects. If any delay occurs, the Agency will promptly inform the Client and provide an updated timeline.
Launch Phase
The Launch phase typically takes between 1 to 2 days to complete. This phase includes the final preparations, Quality Assurance testing, and deployment of the website to make it publicly accessible.
Client acknowledges that the aforementioned time estimates do not take into account weekends, holidays, or any delays caused by the client’s failure to provide content, or provide timely feedback.
Therefore, the estimated timeframes for each project phase are only applicable if the client responds within three business days to each request made by the Agency. Both parties agree to adhere to the expectations outlined in this paragraph regarding the timeline of the website project and understand that any deviations from these expectations may impact the overall completion timeframe.
Revisions
Within the terms of this Agreement, the client is entitled to a maximum of three rounds of revisions and/or a total of 20 hours of the Agency’s work time during the Content Updates phase. Any revision work exceeding the specified number of rounds or allotted time will require an Additional Work Order.
Built on WordPress
The Client acknowledges that the Agency Design has been custom-built on the WordPress platform. Upon full satisfaction of the balance outlined in this Agreement, the Client will be provided with the login credentials necessary to access the WordPress dashboard.
Payment Schedule
$499 to start, then $199/month for 12 months.
The total value for this payment option is $2,887 USD. The payment schedule entails the client making an initial payment of $499 USD in the first month, followed by $199 USD per month for the next 12 months. During this payment period, the website shall remain live on the Agency’s web hosting platform and can be connected to any domain name specified by the client.
After the 12-month payment period is complete, the client will automatically transition to the Agency’s Hosting & Support Plan at a rate of $99/month. This plan includes continued hosting, technical support, and up to 3 hours per month of website work or edits.
The client may cancel this Hosting & Support Plan at any time by simply requesting cancellation via email. Upon cancellation, the Agency will offer the client two options:
• A downloadable ZIP folder containing all website files and database, sent via email at no cost; or
• A full website transfer to the client’s own hosting provider — billed as an Additional Work Order, with cost depending on the access method, hosting provider, and time required. The client must provide accurate access credentials in order for this service to be completed.
Website ownership is fully transferred to the client only after the 12-month payment plan has been completed in full. Prior to that point, the website is hosted and maintained by the Agency but remains under Agency ownership.
This Hosting & Support Plan remains active and billed monthly until cancellation is requested.
Authorization for Recurring Card Charges
By providing their card details for the initial payment, the Client authorizes the Agency to automatically charge any card placed on file by the Client on a monthly basis throughout the term of the service. The Client acknowledges and agrees that regardless of any updates or changes made to the card on file, they waive the right to dispute any charges incurred from the Agency in accordance with the terms outlined in this agreement.
The undersigned, acting on behalf of their organization or business, hereby acknowledges and accepts the terms set forth in this agreement.
By electronically signing and clicking Accept, I confirm that this electronic representation of my signature holds the same legal binding effect as a traditional pen-and-paper signature.
Custom Work Requests
The Client acknowledges and agrees that any custom requests, including but not limited to UX/UI layout changes, custom design work, font adjustments, color changes, element size adjustments, and custom development, are beyond the scope of this contract and will not be provided during the course of this website project.
Such custom requests may be made after the completion of the website project, once the entire balance of this contract has been paid in full, and subject to the availability of the Agency’s resources and work calendar. The Client also acknowledges that the addition of any third-party integrations is not included in this agreement.
The Client acknowledges that any requests for additional pages not currently present on their existing website, as well as any changes to the layout or content of internal pages, will be treated as separate work and billed accordingly. Such requests will be addressed after the launch and completion of this website project, subject to the negotiation of an additional work order and the availability of the Agency’s resources.
Cancellation Policy
The client reserves the right to cancel the project at any time. However, it is important to note that cancellation will entail the forfeiture of any payments made up to that point.
Upon cancellation, the Agency will proceed as follows:
• The Agency will bill the client’s card on file for the remaining balance according to the payment option selected by the client.
• The Agency will deliver the unaltered Agency Design files to the client via email.
• The cancellation of the service signifies that the Agency will no longer be responsible for content updates, development, or the launch phase of the project.
• The client acknowledges and agrees to purchase the unaltered Agency Design files for the total amount of the selected payment option, thereby waiving any right to dispute charges placed on their card by the Agency.
The parties acknowledge and agree that due to the nature of the services provided, any payments that have been made for the services rendered, are non-refundable under any circumstances.
